1. Introduction and Acceptance

Welcome to HeartMuLa, an AI-powered music generation platform. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and HeartMuLa ("we", "us", or "our").

**By accessing or using HeartMuLa**, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws. If you do not agree to these Terms, you must not use our services.

**Service Description**: HeartMuLa provides AI-powered music generation services, allowing users to create original music with vocals and instrumentals using advanced machine learning models.

**Age Requirement**: You must be at least 13 years old to use HeartMuLa. Users between 13-18 require parental consent. By using our service, you represent that you meet these age requirements.

**Modifications**: We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notice. Continued use after changes constitutes acceptance.

2. User Accounts

HeartMuLa uses Google OAuth for authentication. By creating an account, you agree to the following:

Account Creation

  • You must provide accurate information (email, name)
  • One account per person (no multiple accounts for signup bonuses)
  • You are responsible for maintaining account security
  • You must immediately notify us of unauthorized access

Account Security

  • Do not share your account credentials
  • We use database sessions (not JWT) for security
  • You are liable for all activity under your account
  • Suspicious activity may result in temporary suspension

Account Termination

  • You may delete your account at any time via account settings
  • We may suspend or terminate accounts for Terms violations
  • Upon termination, unused credits are forfeited (non-refundable)
  • Subscription cancellations follow the refund policy in Section 4

3. Credit System

HeartMuLa operates on a credit-based system for music generation:

Credit Costs

Each music generation costs **12 credits**, regardless of song duration or quality tier. Extended generations (4-6 minute songs) may cost additional credits.

Signup Bonus

New users receive a signup bonus (amount configurable by platform, typically 50 credits). This is a one-time bonus and cannot be re-claimed by creating multiple accounts.

Earning Credits

Users can earn additional credits by: (1) Sharing music publicly and receiving engagement, (2) Referring friends (future feature), (3) Participating in promotions

Purchasing Credits

Credits can be purchased via Stripe in packages (e.g., 150, 300, 600, 1200 credits). See Pricing page for current rates. All sales are final.

Credit Expiration

**Purchased credits never expire** as long as your account is active. Bonus credits (signup, promotional) may have expiration dates as specified at time of award.

Refunds

Credits are **non-refundable** once purchased, except in cases of billing errors or technical failures that prevent service usage. Contact [email protected] for refund requests.

Failed Generations

If a music generation fails due to platform error, credits are automatically refunded. User-caused failures (e.g., content policy violations) do not qualify for refunds.

4. Subscription Plans

HeartMuLa offers monthly subscription tiers with varying features and credit allocations:

Free

Signup bonus credits, public music only, standard quality, 2-minute max duration

Starter ($9.99/month)

150 credits/month, private music, enhanced quality, 4-minute max duration, high-quality downloads

Pro ($24.99/month)

400 credits/month, priority generation queue, pro quality, 6-minute max duration, commercial license

Business ($79.99/month)

1000 credits/month, ultra HD quality, API access, dedicated support, full commercial rights

**Billing Cycle**: Subscriptions are billed monthly on the same day you subscribed. Subscription credits are allocated at the start of each billing cycle.

**Auto-Renewal**: Subscriptions automatically renew unless canceled before the next billing date. You can cancel anytime via account settings.

**Cancellation**: Cancel anytime β€” you retain access and unused credits until the end of your current billing period. After cancellation, you revert to the Free tier.

**Refund Policy**: Subscription fees are non-refundable. If you cancel mid-cycle, you keep access until period end but receive no pro-rated refund.

**Downgrades**: Downgrading to a lower tier takes effect at the next billing cycle. Current-cycle benefits remain active.

**Upgrades**: Upgrading mid-cycle is pro-rated β€” you pay the difference for the remaining days. New credits are granted immediately.

5. Music Generation and Content Ownership

Understanding ownership and licensing of AI-generated music:

User-Generated Content (Your Inputs)

You retain full ownership of your prompts, lyrics, and any original creative input you provide. By using HeartMuLa, you grant us a license to process this input for music generation.

AI-Generated Music (Outputs)

Music generated by HeartMuLa's AI is considered a collaborative work. Ownership and usage rights depend on your subscription tier:

Free Tier

Personal use only. Music is public by default. You may share on social media with attribution. No commercial use without upgrading.

Starter/Pro Tiers

Private music option. Full commercial license for music created under these plans (e.g., use in YouTube videos, podcasts, games, ads). No attribution required.

Business Tier

Full commercial rights including sync licensing, broadcasting, resale (as part of derivative works like film soundtracks). Includes API access for bulk generation.

  • You may **not** claim that AI-generated music was created solely by you (misrepresentation)
  • You may **not** register AI-generated music for copyright in jurisdictions that prohibit AI-authored works
  • You may **not** use music to train competing AI models
  • Attribution to HeartMuLa is appreciated but not required (except Free tier)

6. Intellectual Property

HeartMuLa respects intellectual property rights and expects users to do the same:

Platform IP

The HeartMuLa brand, logo, website design, and proprietary code are owned by HeartMuLa and protected by copyright and trademark laws.

AI Model

Our music generation AI is based on open-source models (Apache 2.0 license). We contribute improvements back to the open-source community.

Trademarks

"HeartMuLa" and our logo are trademarks. You may not use them without permission, except when attributing music generation.

  • Users must not submit copyrighted lyrics or request impersonation of copyrighted artists
  • If you believe content on HeartMuLa infringes your copyright, contact [email protected] with a DMCA takedown notice
  • Repeat infringers will have their accounts terminated

7. Acceptable Use Policy

You agree **not** to use HeartMuLa for the following prohibited activities:

Illegal Content

Content promoting violence, terrorism, child exploitation, illegal drugs, or other criminal activity

Hateful Content

Discrimination, harassment, or hate speech targeting race, religion, gender, sexual orientation, disability, etc.

Impersonation

Requesting music that impersonates real artists or copyrighted characters (e.g., 'make it sound like Taylor Swift')

Spam & Abuse

Automated bulk generation, API abuse, credit farming via fake accounts, or scraping our platform

Malicious Use

Hacking, injecting malicious code, or attempting to reverse-engineer our AI models

Violations may result in: (1) Content removal, (2) Credit forfeiture (no refunds), (3) Account suspension or permanent ban, (4) Legal action in severe cases.

8. Payment Terms

All payments are processed securely via Stripe:

Payment Processor

Stripe, Inc. handles all credit card transactions. HeartMuLa does not store your payment card details. See Stripe's privacy policy and terms.

Pricing

Prices are listed in USD and may vary by region due to local taxes or currency conversion. Current pricing is available at heart-mula.com/pricing.

Taxes

Prices exclude applicable taxes (VAT, sales tax, GST). You are responsible for any taxes owed in your jurisdiction.

Failed Payments

If a subscription payment fails, we will retry 2-3 times. After repeated failures, your subscription will be downgraded to Free.

Billing Disputes

Contact [email protected] within 30 days of a charge you believe is incorrect. We will investigate and issue refunds if warranted.

Price Changes

We may change subscription prices with 30 days' notice. Existing subscribers are grandfathered at their current rate until they cancel or change plans.

9. Disclaimers and Warranties

**AS-IS SERVICE**: HeartMuLa is provided "as is" and "as available" without warranties of any kind, express or implied.

**No Guarantee of Quality**: While we strive for high-quality output, AI-generated music may occasionally have artifacts, errors, or unexpected results. We do not guarantee that every generation will meet your expectations.

**No Guarantee of Availability**: We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance and unexpected outages may occur.

**AI Limitations**: Our AI models are trained on diverse datasets but may have biases or limitations. Outputs may not always align perfectly with prompts.

**Third-Party Services**: We rely on third-party APIs (Google, Stripe, kie.ai). We are not liable for their downtime or policy changes.

**User Responsibility**: You are solely responsible for how you use AI-generated music. Ensure compliance with applicable laws and licenses.

10. Limitation of Liability

**TO THE MAXIMUM EXTENT PERMITTED BY LAW**:

HeartMuLa, its affiliates, and service providers shall **not be liable** for any indirect, incidental, consequential, or punitive damages arising from your use of the platform, including but not limited to:

β€’ Loss of profits, revenue, or business opportunities

β€’ Loss of data or generated content

β€’ Copyright claims related to AI-generated music

β€’ Reputational harm from content you create

β€’ Unauthorized access to your account

11. Dispute Resolution and Governing Law

**Governing Law**: These Terms are governed by the laws of [Your Jurisdiction, e.g., Delaware, USA / EU], without regard to conflict of law principles.

**Informal Resolution**: Before filing a claim, you agree to contact [email protected] to attempt informal resolution. We will respond within 30 days.

**Arbitration (US Users)**: If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration will be conducted in [Your Jurisdiction]. **You waive the right to a jury trial**.

**Class Action Waiver**: You agree to bring claims only in your individual capacity, not as part of a class action or representative proceeding.

12. Termination

**User-Initiated**: You may delete your account at any time via account settings. Upon deletion:

β€’ Subscription access continues until the end of your billing cycle

**Platform-Initiated**: We may suspend or terminate your account immediately if:

β€’ You engage in fraudulent activity (e.g., credit card chargebacks)

β€’ Your account is inactive for 2+ years

13. Changes to Terms

We may update these Terms from time to time. Changes will be effective upon posting, unless otherwise stated.

**How We Notify You**:

**Your Options**:

14. Miscellaneous

**Entire Agreement**: These Terms, together with our Privacy Policy, constitute the entire agreement between you and HeartMuLa, superseding any prior agreements.

**Severability**: If any provision is found invalid or unenforceable, the remaining provisions remain in effect.

**No Waiver**: Our failure to enforce any right or provision does not constitute a waiver of that right.

**Assignment**: You may not assign or transfer these Terms. We may assign our rights to an affiliate or successor in interest.

**Force Majeure**: We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, pandemics, wars, cyberattacks).

**Language**: In case of discrepancies between translations, the English version prevails.
